Terms and Conditions
1.1 By creating an account with Faturify and/or using the services of Faturify, you are agreeing to the following terms and conditions (“Terms and Conditions”):
1.2 The Terms and Conditions apply to the Faturify website (including subdomains and URL extensions) owned by T-Coil EZ, a sole proprietorship with its registered address in Bonaire, Caribbean Netherlands, registered with the Bonaire Chamber of Commerce and Industry under number 12625. The Terms and Conditions constitute a service agreement (“Agreement”).
2. Right to Amend
2.1 Faturify may amend this Agreement upon notice to you, which will be provided through email, your account dashboard, and/or the Faturify website. You agree that any changes to this Agreement will be binding for you 7 days after the amendment is made known to you (or, if a longer period is required by mandatory local law, after that period).
2.2 If you elect not to accept the changes to this Agreement, you must notify T-Coil EZ through info@faturify.com and immediately cease using the Faturify platform. We will cancel your subscription, if applicable, and your account on our platform.
3. Eligibility
3.1 By accepting these Terms, you affirm and guarantee to T-Coil EZ the following: (i) you are at least eighteen (18) years old; (ii) you have not been previously suspended or expelled from the Faturify website; (iii) your utilization of the Faturify website adheres to all relevant laws and regulations in your country of residence; and (iv) the activities of the business for which you send invoice through Faturify are legal activities.
3.2 In the event that you are unable to fulfill these assurances, T-Coil EZ retains the right to deactivate your account without any refund, and hold you responsible for any resulting damages.
4. Personal Responsibility
4.1 Account holders must ensure the confidentiality of usernames and passwords used to access their account.
4.2 Account holders are responsible for all activity occurring within their account, including compliance with laws relating to personal and public company data, privacy, personal information, international copyright and trademark laws. You must obtain all necessary rights, releases, and permissions to provide your data to Faturify. Your data and its transfer must not violate any applicable local, state, federal, and international laws and regulations (including without limitation those relating to export control or electronic communications).
5. Your Obligations
You are solely responsible for, and Faturify disclaims all liability for, the provision of any goods or services sold to your customers or users as part of your use of the Faturify platform, and any obligations you may owe to your clients.
6. Customer Service
6.1 Customer service for your business is your responsibility. We provide customer service to you, the account user, for use of the Faturify platform.
6.2 You are solely responsible for all customer service policies and issues relating to your goods or services, including pricing, order fulfillment, cancellations or no-shows by you or a customer, returns, refunds and adjustments, rebates, functionality and warranty, technical support, and feedback concerning experiences with your personnel, policies, or processes. In performing customer service, you will always present yourself as a separate entity from Faturify.
7. Platform Service & Data Use
You hereby grant Faturify a non-exclusive, fully sublicensable, worldwide, royalty-free right to collect, use, copy, store, and transmit data solely for the purpose of providing services to account holders.
8. Data Ownership & Access & Privacy
Account holders own all data generated in their Faturify account. Faturify will not access, modify, or distribute account holder data, other than in accordance with our [Privacy Policy] and, if applicable, [GDPR compliance policy].
9. Billing
9.1 By signing up for Faturify's “Basic”, "Standard" or "Premium" plans, you are agreeing to allow Faturify to bill your credit card for the month or annum you selected.
9.2 By providing us with a payment method, you represent and warrant that you are authorized to use such payment method.
9.3 We reserve the right to change the subscription fees that we charge for the Service, at any time in our sole discretion.
10. Account deactivation and account deletion
10.1 For those clients who pay monthly, your “Basic”, "Standard" or "Premium" account will be automatically deactivated after the month you paid for ends. Your subscription commences on the day you purchase it and ends 30 days later. You do not need to cancel your “Basic”, "Standard" or "Premium" account, it will deactivate automatically. You will receive an email with the possibility to extend your account at the end of your subscription period with another month or a year, for either the same plan or another, and will not be charged unless you choose to extend.
10.2 For those clients who pay annually, your “Basic”, "Standard" or "Premium" account will be automatically deactivated after the year you paid for ends. Your subscription commences on the day you purchase it and ends 365 days later. You do not need to cancel your “Basic”, "Standard" or "Premium" account. You will receive an email with the possibility to extend your account at the end of your subscription period with another year or a month, for either the same plan or another, and will not be charged unless you choose to extend.
10.3 There is currently no possibility for auto-billing.
10.4 After your account is deactivated in accordance with article 10.1 or 10.2, you have the possibility to reactivate your account for a period of 90 days. If you do not reactivate within 90 days, your account and all your data will be deleted in accordance with our privacy policy.
10.5 You can delete your account at any time. If you delete your account, you are not entitled to a refund of your payment.
11. Payment Disputes
11.1 By creating a Faturify account, you agree not to file any payment dispute against your monthly or annual “Basic”, "Standard" or "Premium" plan membership fee.
11.2 T-Coil reserve the right to hold you liable for any damages incurred by unjustified payment disputes filed.
12. Limited License & Termination of Use
12.1 Faturify grants account holders a limited license to access the Faturify services, such as account creation and all associated services. This limited license may be revoked if deemed legally necessary without notice or penalty.
12.2 You will lose your license to use the Service if you violate any provision of this Agreement. Faturify's policy is to investigate violations of this Agreement before terminating/deactivating accounts; however, the decision to terminate any account is at the sole discretion of Faturify.
13. Applicable law and competent court
13.1 These terms and conditions (including any non-contractual matters and obligations arising therefrom or associated therewith) shall be governed by and construed in accordance with, BES law.
13.2 Any dispute, controversy, proceedings or claim between Faturify and you relating to these terms and conditions (including any non-contractual matters and obligations arising therefrom or associated therewith) shall fall within the jurisdiction of the Court of First Instance of Bonaire, Sint Eustatius and Saba.
